Terms of Service

1. Acceptance of Terms

By accessing and using the Virginia Beach Network Design website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. Virginia Beach Network Design reserves the right to modify these terms at any time, and your continued use of our services following any such modification constitutes your acceptance of the updated terms.

2. Service Description

Virginia Beach Network Design provides professional network architecture design services, including but not limited to:

• Network architecture design and planning
• Security and compliance assessments
• Documentation and implementation guidance
• On-site consultation and support services

Our services are provided on a project basis as outlined in individual service agreements or proposals. The specific scope of services will be defined in writing prior to engagement.

3. User Responsibilities

As a client of Virginia Beach Network Design, you agree to:

• Provide accurate and complete information about your network environment and business requirements
• Grant appropriate access to facilities and systems necessary for design and assessment activities
• Comply with all applicable laws and regulations in your jurisdiction
• Not engage in any unlawful or fraudulent activity
• Maintain the confidentiality of any credentials or access information provided

4. Intellectual Property Rights

All deliverables, including network designs, documentation, diagrams, recommendations, and reports ("Deliverables"), are the intellectual property of Virginia Beach Network Design unless otherwise specified in a written agreement. You are granted a non-exclusive, non-transferable license to use the Deliverables solely for your internal business purposes related to the implementation and operation of the network design provided.

You may not reproduce, distribute, or resell the Deliverables without prior written consent from Virginia Beach Network Design. You may not reverse-engineer, decompile, or attempt to derive the underlying methodologies or processes used in creating the Deliverables.

Virginia Beach Network Design retains all rights to methodologies, processes, templates, and any pre-existing tools or frameworks used in delivering services. Any feedback or suggestions you provide regarding our services may be used by Virginia Beach Network Design without obligation or compensation to you.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRGINIA BEACH NETWORK DESIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Virginia Beach Network Design's total liability for any claim arising from or relating to these Terms or the services provided shall not exceed the total fees paid by you to Virginia Beach Network Design in the twelve (12) months preceding the claim, or $5,000, whichever is greater.

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and shall survive any termination or expiration of these Terms.

6. Warranty Disclaimer

Virginia Beach Network Design provides services and deliverables on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive to provide accurate and current information and recommendations based on industry best practices, network design is subject to variables beyond our control. Virginia Beach Network Design does not warrant that:

• The network will operate without interruption or error
• The design will meet all security threats or vulnerabilities
• Third-party hardware or software will perform as expected

7. Payment Terms

Fees for services will be outlined in a separate proposal or service agreement provided prior to engagement. Unless otherwise specified:

• Payment is due upon invoice unless a different payment schedule is agreed in writing
• Late payments may accrue interest at the rate of 1.5% per month or the maximum rate allowed by law
• All fees are exclusive of applicable taxes, which shall be borne by the client
• Virginia Beach Network Design reserves the right to suspend services for non-payment

8. Service Modifications and Termination

Virginia Beach Network Design reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. We may also modify these Terms at any time by posting updated terms on our website. Your continued use of our services following such modifications constitutes your acceptance of the updated terms.

Either party may terminate a service engagement by providing written notice to the other party. Upon termination, you must pay any fees owed for services rendered up to the date of termination. Virginia Beach Network Design may retain copies of deliverables and project information for archival and legal compliance purposes.

Virginia Beach Network Design may terminate services immediately if you breach these Terms, engage in unlawful activity, or if continuation of services would violate applicable law or our policies.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Virginia Beach Network Design will not disclose your network architecture, business information, or other confidential details to third parties without your written consent, except as required by law or to enforce these Terms.

You agree not to disclose Virginia Beach Network Design's methodologies, processes, or proprietary tools to third parties without prior written permission.

Virginia Beach Network Design may use anonymized case studies and general descriptions of completed projects for marketing and portfolio purposes, provided that no confidential client information is disclosed.

10. Dispute Resolution

Any disputes arising from or relating to these Terms or services provided shall first be addressed through good-faith negotiation between the parties. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.

The arbitration shall be conducted in Virginia Beach, Virginia, and shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.

By accepting these Terms, both parties waive the right to pursue claims in court or before a jury, except for claims involving intellectual property infringement or confidentiality breaches, which may be pursued in court.

11. Governing Law

These Terms and all services provided are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. All legal proceedings arising from these Terms shall be subject to the jurisdiction of the state and federal courts located in Virginia Beach, Virginia.

12. Entire Agreement

These Terms, together with any applicable service agreement, proposal, or statement of work, constitute the entire agreement between you and Virginia Beach Network Design regarding the services provided. These Terms supersede all prior negotiations, representations, and agreements, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
